Legal Question in Business Law in Togo

Dear Sir/Madame,

I am trying to do business with company based in Togo, after negotiations and preliminary agreements we moved on to contract signing and here is what the company from Togo is writing:

"According to the Foreign Contract Execution Law here in Togo, the original

signed contract has to be registered and authentication at the Supreme

Court of Togo with official Stamp Duties."

as they say the fees for contract registration mentioned above, should be paid 50/50 by both parties, also they require us to be present during signing of contract, or hire lawyer authorized by that company to represent us if we can not be present.

can you please let me know how all these procedures are relevant and in contract signing really needs all these procedures?

Dear Giorgi.

If the Company formation rules in Togo require compulsory registration and if the business is going to be conducted in Togo, you will need to abide by their rules and regulations. Registration is part of contract validation.
