if the resolution has been passed in the meeting of the Board Of Directors and the true extracts has been produced in the court, then the MD can sign the same

The resolution will be valid only if it in consonance with the Articles of the company.

Resolution is singed by the Directors present in the meeting of the board.

However, an extract of Resolution is normally singed by one of them.
