Foreigners may form, own and operate California corporations. There is a popular taxation option under which certain small corporations may elect to have income taxes paid only by the shareholders, while the corporation itself pays no income tax (the so-called "S" corporation election). This option is not available for corporations which have any stockholder who is a non-resident alien. However, otherwise and in general, there is no limitation upon formation, ownership or management of California corporations by foreigners.
