She is probably trying to dissolve the partnership. In a dissolution proceeding the assets and liabilities are allocated to each partner and the partnership dissolved. I am not sure about a "guarantee" of $18,000.00 per year as you speak of without reviewing the documents and speaking with you about the case. Typically a partner in a partnership takes the good with the bad and there is not any "guarantee" of a return. If the company made money then you get a piece of it. If the company lost money then you pay a piece of that. However, if you loaned money to the partnership and had an agreement for a specific rate of return then that is a different story and perhaps you could be "guaranteed" a specific return. She is likely suing you for dissolution of the partnership. In a dissolution, the assets and liabilities are allocated among the partners in a particular fashion. You may be able to resolve the lawsuit via agreement and without spending tons of money in legal fees. Feel free to contact us for further details.
