Legal Question in Civil Litigation in California

I claimed a CA state tax refund. FTB denied it. I appealed it to BOE. BOE also denied it. But I believed that they interpreted the tax law wrong. How can I take the action to superior court? Should I just sue FTB or both of FTB and BOE?

Any claim for a tax refund would name the Franchise Tax Board as the defendant. The Board, after all, is the agency that would make the refund; See California Revenue & Taxation Code � 19382.
