Legal Question in Business Law in Colorado

I have my real estate license and broker commercial real estate through an Employing Broker. A friend has asked me to broker their business. The business does not own the real estate on which it sits but a family member does own the real estate and would be willing to sell the real estate in a separate transaction. Can I broker the sale of the business through my personal llc, which engages in private equity investments and real estate development, and then broker the sale of the real estate through my Real Estate Employing Broker?

You need to retain a business attorney. Your plans to broker the sale of the business may entail providing legal advice, which you cannot do. Moreover, depending on how this is structured, this may implicate securities laws. I also observe that your LLC engaging in "private equity investments" would almost certainly involve state and federal securities law issues that implicate civil and criminal law issues.

I strongly recommend that you retain an experienced business attorney to review your business plans and structure.
