wrongful discharge

I was recently terminated from my job. I was told my position was being eliminated & offered 2 other positions at about a 70% pay cut. The businesses attorney would like to write me a letter of discharge stating that the business will not fight me on unemployment compensation. He also stated this letter would act as a release & i would not be able to take action against them. What are they afraid of & what are my legal rights?
