Legal Question in Business Law in Mississippi

My business partner and I entered into a MOU with a funder to help start our company using foreign bonds (they are located in California we in Mississippi) we have had little help from them run around and what we have found out is this funding has not been done before in USA we have spend money in developing our company business plan engineering plans etc and our funder has spent nothing we feel we are getting taken run around etc we now want to seek other funding and break our MOU Can we please advise
