Lost articles and corporate minutes

After my brother and secretary of our c-corporation passed away we have not been able to locate our corporate minutes(over three years) we have a copy of our orginal filing from the state. My question is because we cannot locate original stock certificates which are the same as initialization of the corporation, do we just start a new minutes book and go...also the--his widow of the corporation feels she has been shafted... I told her that the shares are still hers but as we do not pay dividends her shares will be paid if and when we liquidate the corporation. This has been a family business for over 80 years and corporate for about 30 years. If I play hardball do I have to compensate her shares of the business at book value or keep her in holding.

This is not a question that can be answered easily over the internet. This is a question that requires a skilled business lawyer who knows how corporations are set up and managed. The loss of corporate minute books could place your corporate status in danger. You should seek the opinion of a competent business attorney as soon as humanly possible.
