Legal Question in Legal Ethics in New Mexico

I am currently involved in an LLC. My partner wishes to leave the LLC and Partnership. What do I need to do legally to remove her from our partneship and LLC?

Normally the Operating Agreement contains provisions for the removal of a member. If you have one, follow those instructions. If not, a normal Bill of Sale, coupled with an addendum to the formation docs showing the withdrawal of a member will do. If the member is also a manager or co-manager, that position must be withdrawn from also.
