Legal Question in Business Law in New York

Hi, i would like to open a company for F&B business but his would be under a partnership. I would like to regulate the funding to this company through a parent company to protect our capital if we were to give up the F&B business. Is this considered a shell/shelf company and is this legal?

(Company A holds funds, Company B creates the F&B business funded by Company A, Company B will have a small capital but any excess will be transferred back to Company A, if more funds are need, Company A can have the decision of funding)

It's unclear why one would start a business under this scheme?

If you're trying to limit your personal liability or if you are an investor but will not be managing the f&b business on a daily basis and are concerned with the proper use of funds or if you have partners and you wish to protect yourself from any partner issues then there are more straightforward ways to address these. More straightforward also means less expensive than the scheme you mentioned.

If you're investing a lot of money in the business, then you should consult a startup business attorney who will help you address your specific concerns and protect yourself. It's the logical thing to do.
