As a Franchise Attorney familiar with contracts of sale I can say the following. When you buy a small business, there are no do-it-yourself forms that will address the many issues and pitfalls. Save yourself a lot of headaches and grief down the road by consulting with a good business or franchise attorney in your area for specific advice.

You first need to figure out what you're buying. Is it stock in a corporation, units of an LLC, or just the assets? I wouldn't recommend using a form, as every case is different. You'll need an asset purchase, security, note and bill of sale, for starters.
