Licencing agreement

I have a proprietary advertising concept

I will be reselling to automotive dealers.

What agreement do I need to have them

sign do use the concept. It will be

exclucive to them within a their

metropolitan area.

I think it would be impossible to give a quick answer on here. Clearly, you do need an agreement licensing them to use your concept. In fact, you may face a tricky problem preventing them from simply stealing your idea. So I think this would require a lot more thought. You may need a series of steps to sell them on the concept without telling them everything about how to do it, signing an intial contract with them, and then signing a final contract with more details. You may need to create more of a kit or package to make all of this easy for them so that they would rather buy it fro you rather than simply ripping of your idea.

The trick, however, is not naming a type of agreement, but actually writing one with all of the details.

So I would recommend that you have a lawyer work with you to develop all of this, particularly strategizing to avoid -- if possible -- having people simply steal your concept.

You have not given enough details (and you shouldn't publicly here) to give a mroe detailed answer.
