Legal Question in Business Law in Virginia

LLC for parent company?

I am interested in forming a new LLC.

I'm familiar with the benefits of such an entity; however, I'm unsure WHICH of my business names to incorporate.

Situation: My home business (Smart Designs) is operated as a Sole Proprietorship. I am adding a new business name. I still want to dba Smart Designs, but want to be KNOWN by a diff name.

Question: Which name should the LLC be formed under? It seems easier to form under the new business name (as I already have the tax id); Also the new entity would require new registration anyway. But then the parent company (Smart Designs) would/would not be protected?

Any help is appreciated.

Thanks,

Re: LLC for parent company?

I'm not exactly sure what you are seeking to accomplish. Are you trying to turn your sole proprietorship into an LLC, or are you forming an additional business that is an LLC? How this is structured, and what would be in your best interest from a liability and tax standpoint, would probably be best resolved by consulting with an attorney to fully review your business goals.
