I want to start a distribution network of processed food like indian thali, chinese, breakfast etc. I would be generating orders from my customers, buying from a restaurant and selling through my network of outlets through a franchise model. Here I would like to know the tax implications and who will ultimately bill the food to the customer.

You have to obtain a license under the FSSA from the designated authority. You will pay VAT on purchase ( if the restaurants charge and it is applicable to them) and then charge VAT on sales, but you will get credit on the VAT paid on purchase so there will be no double taxation. Net effect will be that when you file VAT return then you will deposit VAT on the goods added by you, such as VAT on packing material or other misc items etc. Another element is also service tax in which you might get abatement depending on the exact business model. Since you own the business, obviously you will need to bill the customers and you will need to get a VAT registration in place for the business.
