Corporate Goverance in the USA is governed primarily by state laws - both legislative and judicial determinations. Some of the more important states in this regard are Delaware, Pennsylvania, Maryland, Nevada with Delaware being the most influential of all the states. Obtain an annotated copy of Delaware's (or a particular state of interest)corporation code for details and annotated cases interpreting particular provisions of a state's corporation code. Indirectly the Federal Securities Exchange Commission influences corporate governance.

The duties of corporate directors are mentioned in the laws of the various states (there is little general federal legislation respecting corporate governance), but one must look well beyond the statutes to grasp the breadth of directors' duties, many of which are based upon common law. I suggest you acquire a copy of 'Corporate Director's Guidebook' published by the Section of Business Law of the American Bar Association.
