how much does it cost to retain a lawyer for small business start up?

It depends on what you need. If you already know which direction you are going and simply need a lawyer to prepare and file your papers, the cost should be very minimal. If you require more organizational guidance or have complex requirements, the cost will obviously rise commensurate with the amount of time and expertise the lawyer must provide on your behalf.

How long is a piece of string? I can do an incorporation including payment of fees and furnishing a corporation kit including stock certificates and corporate seal, plus a checklist of additiional steps for the founder to take, for well under $1,000. I can do your initial public offering for under $100,000. Most startups need somethin sorta in-between.

I like Mr. Whipple's answer about the string. It depends on your needs. I consult on the choice of business form. I will not form a corporation, LLC or other business without that consultation because it is very easy to make a mess of things from the start by choosing the wrong form. For a simple corporation or LLC, once the choice is made, I do the full incorporation package, including assisting with the first shareholders meeting and initial minutes, etc., so there will be no mandatory corporate formalities needed for the first year. I charge $1,800 for that package. If the set-up is more complicated than that, or requires more consultation, I charge hourly for the additional services. I also serve as board Secretary for many of my small corporate clients at no charge, although any actual legal services provided are billed.
