Proper name for Assignment of Power

I am in translating a legal document from French to English. The title in French in ''Pouvoir'', which means ''Power'' and I need to translate it into American or British English. I am not sure if it should be title a ''Proxy'', ''Power of Attorney'' (I doubt it), or something else suggesting Authorization of Representation.

The document authorizes a director of an affiliate of a multinational corporation to represent the multinational as a whole in the annual meetings of companies in which the multinational is a shareholder.

What would the title of the equivalent document in English?

Probably 'proxy' since that's the function you describe. A cautionary statement, however: corporate law differs, conceptually, from country to country in subtle ways, and translating the word does not always necessarily convey the full meaning.
