Need Help to put together a Partnership Contract

I own a grocery store. It is a partnership business. I have invested 85% in the business to start. My partner invested the difference. He opens the store at 9am daily and stays there till 8.30 pm. I arrive at the store around 4 pm daily and stay there and close it.

I need help to put together a contract about the profit distribution percentage that will be fair to both the partners for the time and money we have invested in the store.

This agreement should not only cover the distribution of profits, but it should cover numbers of other matters such as buyouts, death buyouts and benefits, insurance coverages if any, a detail as to what is expected of each party in regard to their ownership interest as well as the profit-sharing, what happens in the case of the disability were either party cannot complete their requirements under the agreement, and numerous other matters. I have been writing these agreements whether called a buyout agreements or partnership agreements for over 30 years in the San Francisco Bay Area as well as teaching business law. Your posting doesn't really ask a question; it sounds more like an invitation to bid on your legal work.

It should not be difficult to find a business attorney in your own county -- I would guess Sacramento from your Zip code. If your partner and you are basically in agreement on the terms and will sign a consent letter, one attorney can represent both of you; otherwise, there is a possible or real conflict of interest and each of you should have your own lawyer.

The concepts you want embodied in the agreement are not too difficult or unusual. Keep in mind that partners are not entitled to pay for working in the partnership as a matter of right, but they can be compensated IF the partnership agreement permits or requires it.
