trademark license

I own--name removed--janitorial service company and i'm looking to expand. I've decided to choose licensing vs franchising. I'm seeking for--name removed--lawyer to draft trademark license agreement, and other misc contracts.

You need to be careful in California to avoid being either a franchise or a �Seller Assisted Marketing Plan� (SAMP), sometimes generally referred to as �business opportunities�.

Ideally, to avoid a franchise in California we would EITHER sell your trademark but reduce your control to a minimum level over the operations and marketing of the services sold OR not sell your trademark but control the operations and marketing.

Ideally, to avoid being a SAMP in California we would not collect more than $499 initially, not represent in any advertisements that they will make more profit than the $499, that there is a market for this service, or that you will rebate.
