California Contractors

A friend and i are considering joining our two business and forming a partnership or corporation together. We are both licensed in california by the CSLB and are wondering what is the best way to go about the new venture

General parternships are never a good idea for contractors and California contractors cannot legally operate as a limited liabililty company. Your best option is a corporation. Whether you should form an S or a corporation is a tax issue that your attorney and CPA should discuss.

Intelligently. That means that I NEVER allow clients to form general partnerships; too much liability risk. I'll be happy to put together a corporation for you, with the appropriate shareholder agreements that determine the relationship between you two, and educate you on how it has to be managed and documented to keep you out of legal problems.
