Non-Disclosure Agreement

When someone signs a non-disclosure agreement are they able to use a P.O. Box instead of an address? Is it ok to a have a faxed version or should you get an original? If they only fax back the pages they signed, should you request they fax the entire document?

In answering your questions:

1. Use of a P.O. Box is OK, unless there are notice provisions in the NDA that require notices be sent by overnight courier (in which case some couriers will not send to P.O. boxes).

2. Faxed versions are typically fine, unless the NDA indicates to the contrary.

3. Yes, the entire document should be sent - otherwise you won't know if the other party changed certain terms in the contract that weren't sent to you.

As always, you should have competent counsel review the entire agreement personally.
