Legal Question in Intellectual Property in California

Confidentiality agreements-long form- use in all states

I need a confidentiality agreement (long form) to be legal in California and Michigan. Do I need two forms or is there one which is good throughout the U.S.?

One form will do. In it, specify which state's law will be governing. It will be valid in each state.

If you are looking for a basic...generic type confidentiality agreement....create one template...just change the name of the state under governing law.

I have developed multi-state forms of this type and many of the confidenitality laws are very similar. It would just take an additional provision addressing this issue. You would still choose your home state as the applicable law and venue since if anything ever happened you would require that individual to be subject the laws of your state (you can drag them into court on your turf).
