Legal Question in Intellectual Property in California

Non-disclosure?

I am soliciting mathematicians with expertise in Finite Field math for a possible, high potential application in database technology. I will initially be looking for confirmation of feasability of idea, and then aggrement on collaboration on business development if feasability if affirmed. I'm seeking advice on how best to protect myself in this process. Thank you.

Re: Non-disclosure?

I like this question. As an IP practitioner....I would recommend you to start with a Memorandum of Understanding (MOU). That MOU should cover Covenant of Non-competition, Non-disclosure, Ownership of Intellectual Property Rights, Indemnification clause. You should also include, Representation & Warranty Clause as well as Payment schedule. I can draft a simple contract for you for a nominal cost. Shoot me an e-mail, or leave me a message at 818-481-9284.
