International Distribution Agreement

I'm in the midst of negotiating a exclusive distribution contract with a brazilian swimwear company and I'm not sure who should have the governing law rights in case of a dispute. Should it be the courts in brazil or the courts in the US? Also wondering about arbitration through AAA.

It depends on a whole host of issues (inventory location, insurance, country of collection, etc.). This is a difficult question to answer without seeing the agreement or understanding more about the business. You should have your agreement reviewed by an atty to ensure proper protection.
