Misappropriation of trade secrets

I resigned my position at billing company that I was a co-owner after several problems with my business partner's work ethic. After that time I started my own billing company and did sign on with three of my previos company's clients. Now she is claiming misappropriation of trade secrets, do the providers we worked for not have the right to switch to my company after terminating the contract with my old company, and if I resinged my old company why can I not go out and obtain accounts even if they were signed with my old company?

The law of trade secrets can be confusing. Normally, however, you should not be precluded from contacting clients of your previous business unless you signed a 'non-compete" with your old partner.
