joint venture

I want to change our joint venture to a limited liability company.

this joint venture holds title to real estate and leases the real estate to our corporation. should i change to a limited liablity partnership or limited liablity company, and what form do I use to do that?

Afternoon:

As a general matter, you are discussing a conversion of an entity which falls under Article 90. To convert from a general partnership (which appears to be the case) to either an LLP or LLC you would need consent of the parties, filing the statement of conversion and the filing of articles of organization for either form of entity you select.

As to which entity to select, that really depends on the exact characteristics of the respective partners/members and goals. Contact an attorney.
