Your agreement needs to be reduced to writing. To do so, you really should see a lawyer, who can best tell you how to accomplish waht you want. There are a lot of things to consider and no way to properly advise you in a forum posting like this.

You are undertaking a somewhat complicated transaction. I suggest that you get a lawyer who has experience handling such transactions to help you deal with the details of the transaction. Getting it right in the beginning will be infinitely cheaper than getting a lawyer to get you out of a jam when things go bad later.

If you would like to discuss the issue further, please give me a call at your convenience.
