Form for legal agreement Canada/ USA
What form is needed for an agreement between Canadian Mfg. and U.S. company that will insure that the mfg. can not solict nor sell any customers that we have registered.

If that's all you want the agreement to say, then you can say it just like that. However, an exclusive manufacturing agreement between two companies (in two different countries, no less) contains MANY more issues. What about sales terms? payment? duration? minimum purchases? delivery? excusable delay? dispute resolution?
Please work with an attorney who will create a contract specifically taylored to your needs.
