Legal Question in Business Law in Florida

I started a jewelry brand with a friend 2 months ago. I have been the leader in this project doing everything from the BP and P&L? choosing the name, style and direction. My partner says she no longer wants to be involved as it is too much for her and she isn't ready for this. We haven't registered the name or business. I only bought the domain name that I came up with and it is registered in my name.

I found a designer and we started working with him a month ago. The designer is located in France and that is where we started to do the creative business steps under my leadership.

To the date that she decided she wants to quit, we have incureed about 2300 USD charges to start this brand. I want to keep all of the ideas BP strategy and the name since I am the one who came up with everything and she had about 10% impact in this whole process. I basically did everything and briefed her on it.

She just agreed to all of my proposals. Do I have any liability or do I just need a letter from her stating that she is not apart of the project anymore to cover myself from any future P&L of the brand?

I want to incorporate in Florida and haven't registered or copyrighted the name yet. I would like to do that asap.

Based on the facts outlined in your inquiry, you should terminate the business

relationship with her with a statement in writing summarizing the agreement regarding

her no longer having a business interest, any consideration paid to her, and that the agreement

fully covers any legal liabilities or obligations of both parties. This may be a Release, Agreement, or written Termination, signed by both of you, certainly by her.
