Sale of Trademark

I am a principal in two separate corporations. One of these corporations owns 4 trademarks. We would like to sell these marks from one company to the other. Is it a matter of drafting a short and sweet contract and having it executed by both CEOs? And then of course following it up and notifying the USTPO office?

I need to know what makes the transaction legal/official in the eyes of the law. The contract or once the trademark office is notified.
