Legal Question in Credit and Debt Law in Georgia

My Georgia corporation, which has been dissolved, broke a Georgia commercial lease. Are my other corporations I am an organizer of subject to any judgment liens? Or, are only my personal assets subject?

Think of a corporation like it is a separate person. Person A is not responsible for Person B's debts. Likewise, Corporation A is not liable for Corporation B's debts unless it specifically agreed to be responsible or bought all the assets of Corporation B. There may be other examples to the extent any assets of the dissolved corporation can be traced, then possibly, they would be liable, but not just based on the fact that you happened to be one of the shareholders/organizers.

When you say that your personal assets are at risk, what do you mean? Ordinarily, a corporation shields you from personal liability. Did you sign a personal guarantee? In that case, you may want to consult with a Georgia bankruptcy attorney regarding a personal bankruptcy.
