Retain a local attorney to contact them and try and negotiate a settlement. The attorney will make sure that there is a comprehensive release and settlement agreement in place before paying them anything.
Many of these threat letters are considered by some lawyers to be a real perversion of copyright law. Meet with an attorney to determine a response. Do NOT respond yourself. If you do end up settling, and that may be unnecessary, the lawyer will make sure appropriate settlement papers and a release are executed.
If you do an internet search you'll find that lawyer and company that are sending these letters (in many cases, but not all, they have flimsy claims) in large quantities but almost never sue. Read the articles at http://torrentlawyer.wordpress.com/category/copyright-troll-attorneys/copyright-enforcement-group-ceg-tek/ I should note they have filed SOME suits, mostly in NY, mostly against John Doe's. Do see a lawyer, but don't assume you will lose. Depending on the facts you may not lose.
