Legal Question in Employment Law in Georgia

if there is a partnership agreement and one of the partners would like to revise the agreement after the the original agreement has been signed. The partner that is revising the agreement is the SOLE investor and manager. the business in not yet up and running and would like to give reduce the percentage offered to the other party for lack of diligence. In this case, the other partner is refusing to take less. what are the legal ramifications if the partnership is completely dissolved (forceably)
