conditional GPA with agreements

i am entered an agreement with a pary to sell out my litigation (open/vacate land), the party wants GPA, therefore i request you to kindly suggest on what conditions to make a GPA with agreement (conditions are time bond, 50:50 partnership, first my 50% has to sale,with joint signature, advance at GPA signing, if any to add kindly let me know

Basically be careful before signing the Genaral Power of Attorney.
