Aggrement

I am engaging a contrctor to carry out my packing jobs. But right now, i cam to know that he is carrying out the same type job with my competitor. I want to make an agreement with the contractor to prohibit him from doing the same type of job with my competitor.

Please suggest the type of agreement. with format.

Dear Sir

The first thing to be ascertained in your case is whether the packaging company (�Contractor�) you are hiring has entered into any sort of agreement / contract with your competitor. Further, if he has entered into the agreement it has to be verified whether the agreement contains any provision whereby he has been prohibited to do business with any of his competitors. If this is the case then we are of the opinion that the contractor has no right to enter into the agreement with you. Moreover, it would be advisable not to make any transaction with him as he may be prohibited by your competitor in future to deal with you which may in long run be not beneficial from business point of view. If the contractor has not entered into term specified contract / agreement with your contractor then you may enter into a business services agreement with him. In order to prevent him from making transactions with your competitor you may insert appropriate provisions re non-competition and non-solicitation in your agreement which will prevent the contractor from entering into transactions of any kind with any of your competitors. Firstly ascertain what type of agreement your contractor has with your Competetor. If he does not have any agreement with your competetor, get the same in writting from your Contractor. Than enter an Sole Packging Agreement with your Contractor with a clause prohibiting him from doing the same activity with any other competetor.
