Legal Question in Business Law in Louisiana

my husband entered a verbal partnership with a silent partner, who did not want to put the partnership in writting "just yet" and who then added this new business to the tax ID of another business in which he and his wife are the only listed partner. my husband initiated all business contacts with venders and completed all sales with customers. it seems our partnership has become a situation where he did all this work for free, even though they had and agreement to compensate him for this, and a 49% - 51% split of profits agreed on. it seems that all conversations were false

What should we do?

Seems like you don't have much of a choice. File suit. Find an attorney in your area that handles small business issues (most small firms and solo practitioners do) and talk to them about filing a lawsuit against him. You will need to back your case up with as much evidence and testimony as you can. While I know you don't have a written partnership agreement (and that's fine under Louisiana law), there certainly must have been emails and other documents to prove the existence of the partnership and the extent of your husband's involvement and investment of time and money. That is the sort of evidence the lawyer will want you to bring with you.

You will have to pay the lawyer out of your own pocket and there is no guarantee that you will be reimbursed the attorney's fees (although there may be a chance the company would be compelled to pay them). Make certain that it is something that is worth going after.
