Legal Question in Business Law in Maryland

I have filed an application to register a LLC in the State of Maryland for Internet software services. The application is in process to get registered with the State authorities. We have some active clients with short projects that require us sign NonDisclosure Agreement (NDA). Will I be able to sign NDA representing the company or should I sign them in my personal capacity as an individual? Until the LLC is registered, will I be able to use the company name for any official business?

thanks in advance

By "filing an application," I'm assuming you mean you filed Articles with the State? I generally encourage clients to file on an expedited basis which shortens the standard 1-2 month wait to a few business days or less. Once the SDAT has approved the entity you should immediately hold an organizational meeting and then enter into all contracts with the entity name.

It may be possible to enter into contracts individually and assign them to the entity but it is preferable to have the entity formed and the entity enter into the contracts.

If you need assistance in starting an LLC in this state you may call my law firm at 410-216-7000 or another Maryland business lawyer of your choosing. My firm offers a limited (up to 10 min) initial telephone consult on new business matters without charge and can process filings on a "expedited" or "rush" basis.
