Legal Question in Intellectual Property in Minnesota

confidentiality agreement

I was unsuccessful in obtaining a patent on an idea I have. I am persuing the idea and have a company that is interested that is located in China. I have not shared details of the idea yet. They sent me an agreement form, but I don't understand if it is legal and/or how it directly affects me positively and negatively. I have attached a copy of it below.
