Legal Question in Business Law in Mississippi

Questions about Forming an LLC

I am looking into forming an LCC with 2 additional partners for an internet venture. I am looking for answers to several questions.

1. We are forming the LLC in Mississippi my home state. Since we will be doing business on the internet and selling products and services to people in other states as well as other countries must we register in all 50 states since customers my purchase from our site from those states or do we just have to be registered in the home state as we will not actually have offices in these other states.

2. One of the partners lives in Canada. Will this present any problems forming the LLC in the US as a US company as the other 2 partners live in the US.

3. Since the business will actually reside on the internet and not have a physical address can we just use one of the partners home address as the company address or do we need to rent a small office for the street address. What I am wonder is are there any legal implications of having the home as the physical address.

4. What type of insurance in required for an LLC.

Any help on the above questions would be greatly appreciated.

thanks,

Re: Questions about Forming an LLC

You need to hire an attorney to carefully consider your situation, research the law, and advise you. Anything short of that is not exercising due diligence for the benefit of your investors.
