Legal Question in Business Law in Missouri

LLC Partnership

I own a security company. There was a fellow who I considered to take on as a partner. Although I wrote a partnership agreement that included his name, he never actually signed on with the company. He had all the paperwork but never sent it to Jefferson City. Now that I am doing better in the business he is hiring an attorney to go after half of my income from the business. If he was never on the paperwork filed with the State of Missouri, does he have any right to come after me?

I agree with the answer posted by Mr. DeWitt, but I would add that an attorney should reveiw all of the "paperwork" involved befrore advising anyone of their legal rights or duties. If the other person has already hired an attorney it is past time for you to do so. If this involves anything in the St. Louis area, you may call me for a telephone conusltation.

Questions of partnership are not routinely decided solely on what's in the paperwork. While the paperwork is some evidence of what you intended, his testimony will have some weight too.

You should immediately seek out a competent business attorney to represent you in this matter. If litigation is being threatened, you need advice about what your rights are, as well as what you might say and do about this.
