Legal Question in Business Law in Nevada

Branch

A software company in India is having a 100% subsidiary in State of Nevada, USA. The subsidiary is having Federal Identity of the State Of Michigan. It employs 50 people and other 20 with H1 visa. All the salary are paid by the US Company.

The parent company wants to merge/amalgamate the 100% subsidiary with itself under the Companies Act, 1956, which will involve the High Courtprocedures. The US operations are then to be converted as that of a branch office of the Indian Company.

What procedures are to be done for merger under the US laws and whether branch operations can be started in US by an Indian Company.

Yes, branch operations are permissible but I can not advise on US laws as that is considered unethical and an offensive act by American Laws. I could however refer you to a Law firm in U.S if you so desire.
