Legal Question in Business Law in New Jersey

My husband and I put a partial down payment on restaurant. We agreed to the terms and conditions of the lease to the building along with the terms of the contract. However, when we went to put the utilities in our name, we found the both the gas and the water/sewer were for the entire building. This building also has an apartment attached. We made a compromise that we would pay the gas and they will continue to pay the water and promised to rectify the problem. Unfortunately, this is a seasonal town that we are in and business was next to nothing during the winter. We are now 5 1/2 months behind on the rent. During this time nothing was done to fix the gas or the water. They are now demanding that we come up with a large portion of the back rent. Our problem here is that unbeknown to us, they have not paid the taxes for this building since 2008. They need this money to pay their taxes or it is going up for tax sale. What I am afraid of here, is that now that the busy season is starting, we owe them money, we have totally redecorated the place, we are afraid that they will lock the doors on us to bring someone new in. Do we have any legal recourse here? Were they fraudulent in any way? Please help, we have a lot of money invested in this and need any help you give. Thank you.
