Re: LLC requirements

A LLC is NOT a corporation.

You need to sit down with an attorney and review whether the entity you created is appropriate for your business venture, whether your operating agreement was properly drafted and whether you complied with applicable NJ law.

Good luck to you.

Re: LLC requirements

Yes, stock certificates (membership certificate for LLC) and also operating agreement and probably resolutions.

The more important issue is what other things need to be taken care of, and that depends on what your LLC does, what it owns, and possibly depends on who owns it (how many partners if any). You really ought to have a lawyer available to answer questions for you, too.

Re: LLC requirements

Adding to the prior responses, if more than one person is to be a member, you need a Tax Identification Number (Form SS-4) which can be completed at the IRS web site, have filed a REG-1 with the State (required of all businesses), an Operating Agreement and a good attorney to see that you have done everything required.
