Legal Question in Business Law in New Jersey

I was registered in business with another person in a beauty salon in the state of NJ. We got behind on our rent and the landlord offered us out of the remaining lease. I took the out and she didn't, she decided to stay and had the landlord to write up another lease, I refused to sign it because I wanted to opt out. I received papers in the mail she is suing me for $15,000 for leaving the business. I had made arrangements to pay back rent with the landlord. We had no written agreement for business. The tax ID# is registered in my name only, can she still use it since I'm no longer there? I need to get my name off the business at the County Court House, She is not agreeable to close the business under the name we are registered it. Can I counter sue her for continuing to operated the business with my name and tax id# since I'm no longer there?

Your question cannot be fully answered in this format as there are many issues that need to be addressed. You have issues with your former partner, perhaps your former landlord and "wrap up" issues that need to be addressed with the State of NJ and the Internal Revenue Service. All matters can be taken care of but it needs to be done in a proper and legal fashion. You should really speak with an attorney on this issue.

Keep in mind that this answer is given based on the scanty information you have provided. My answer may change based on other information. Further, you cannot rely on this answer since you have not retained me as your attorney. To be sure that you have accurate information and direction, you should consult with an attorney. Feel free to call me at 856-546-8010. Mention Law Guru and your first consultation will be "no charge". Good luck. Rob Gleaner

Your issues are too numerous to address in an email and will largely depend on the exact legal nature of your business structure. Please contact me ASAP so that we may explore your options and protect your legal rights. 973-921-0600.

Kindly note and remember that my response is merely a general comment on the law related to your question, and NOT legal advice or opinion. Also, your question and my response does NOT create an attorney-client relationship between us. You cannot rely upon what I have written, because I do not have all of the information that I need to advise you or render an opinion. Even simple facts you have not shared can completely change my answer. For me to give you legal advice or opinion, you would need to hire me to be your lawyer, and then we would need to discuss this in detail and go over the documents.
