Can a NJ not for profit corporation that has no assets and has ceased operations but has an IRS tax lien against it do a Dissolution?

First, how did you get a Federal Tax Lien. If it is for employment taxes, you need to see a tax lawyer right away. If all taxes are paid to the state, usually, they will let you dissolve.
