Legal Question in Business Law in New York

Add a new Location to Current Bussiness

I have a ''S'' corp Barbershop in NY and I want to open up another location under the same name. The only difference is the address. How do I go about it. Someone said something about only updating the minutes??? I don't know. Do I have to file all over again, this time with a different address? Thank you for helping :O)

Re: Add a new Location to Current Bussiness

If you are ADDING a second location, there is really not anything you need to do.

If you are closing the old location, and opening a new location, then make sure that you update any addresses you have on file with the NY Secretary of State. It may require amending the Articles of Incorporation, so consult an attorney, or at the very least, a company in Albany that handles corporations filings.

Just a note - if you are amending the Articles of Incorporation, you will probably have to update the minutes to show that there was a proper vote of shareholders for amending the Articles.

no you do not need to refile, you can open your new barbershop under the the s corp that you currently own. You may need to update the minutes if your s corp has been filed for a specific purpose as opposed to general purpose. If you need any further help, please feel free to contact me
