Appointment of an officer

Dear Sir or Madam

I need to appoint an officer of our corporation. We are having a board meeting for this. Do I need to file this with the State Department or just keep on file in our office?

You inform the NY Dept. of State, Div. of Corps. of these types of changes in your biennial filing, but the only people you have to mention are the CEO and registered agent.

Corporations require detailed business records; so you will need to record the board meetings/resolutions for your corp. records in order to improve your chances of retaining limited liability for corporate actions, corp. tax entity, etc.
