Change from partnership to LLC

I wa wondering if it is possible to change a partnership to an LLC without both partners consenting to it. One partner is 75% the other 25%. Can this be done without both partners signing it over to an LLC?

more then likely you will not be able to convert an LLC from a partnership unless all partners agree. However, this will all depend on what it actually says in the partnership agreement. For example, if it says that at any time the partnership may convert into a corporate form, and that either partner can convert the entity without the permission of the other partners...MAY be an example where you would be permitted to do such a thing. The partnership needs to be reviewed first before any advice can be given.
