Legal Question in Business Law in New York

Contracts and Breeches

What are the requirements for a contract to be signed, if a company wanted to purchase a CD of the sort from a musical group, are needed? Such as how many people need to sign? How many Witenesses? And What else needs to be done to make it s 100% legal, and hard to breach the contract?

Re: Contracts and Breeches

The only requirements for any contract to be legally binding are:

Offer, Acceptance, consideration (money) and signatures.

In the case of a Band selling a CD to a Record Comany, as an entertainment lawyer, I would want a host of items in the contract, and what I would want, would depend on a variety of factors, the most important of which is who I am representing. Just for your information most Recording Agreements are anywhere from 5 pages for small independants to 70 pages and more for Major label agreements.

The only question I can answer is that if the band is selling the Master, the contract has to have the signatures of the Master rights holders, who presumably would be the members of the band and all other musicians that actually played on the record, but again your fact scenario could be differant. Entertainment Law, including copyright, is very complex and more facts would be needed to adequately answer your question completely
